Consensual Plan of Reorganization

On September 26, 2006, the Bankruptcy Court approved the Sixth Amended Joint Plan of Reorganization for Owens Corning and its Affiliated Debtors and Debtors in Possession (as Modified). On September 28, 2006, the District Court affirmed the Bankruptcy Court's ruling.

    The Sixth Amended Joint Plan of Reorganization became effective on October 31, 2006.

    The Order Confirming the Sixth Amended Joint Plan of Reorganization established a "Distribution Record Date" for certain claims, of September 27, 2006. To the extent applicable, the transfer of claims after the Distribution Record Date will not be recognized for the purpose of the making of distributions under the Sixth Amended Joint Plan.

    Asbestos Estimation. An initial hearing to determine the aggregate amount of the Debtors' asbestos personal injury liabilities was held from January 13-20, 2005, before District Court Judge John P. Fullam. On April 1, 2005, Judge Fullam issued a decision estimating Owens Corning's aggregate present and future asbestos liabilities at $7.0 billion. Credit Suisse First Boston, as Agent, and certain other parties have appealed this decision to the United States Court of Appeals for the Third Circuit. As of the date hereof, no decision has been issued with respect to this appeal.     Orders Imposing Restrictions on Trading of OC Stock. By Interim Order entered March 1, 2005, the Bankruptcy Court imposed certain notice and other restrictions on the trading of Owens Corning equity securities. On April 15, 2005, the Court issued a final order imposing certain notice and other restrictions on the trading of Owens Corning equity securities.     Substantive Consolidation. On October 5, 2004, Judge Fullam issued a decision approving the Debtors' motion to "substantively consolidate" their cases as part of confirmation of a plan of reorganization.
